Position Summary: Associate General Counsel

Reporting directly to the General Counsel, the Associate General Counsel will provide legal advice across critical areas of the business. This role supports regulatory compliance, commercial transactions, employment matters, intellectual property, mergers and acquisitions, and general corporate legal needs. The successful candidate will help Miovision remain agile, competitive, and compliant while supporting business growth.

Key Duties & Responsibilities

Draft, review, and negotiate a wide range of commercial agreements, including hardware, software, SaaS, services, NDAs, RFPs, licensing, OEM, data protection, and partner agreements
Lead term negotiation while ensuring compliance with company policies and risk tolerance
Protect Miovision’s intellectual property and confidential information
Support equity financing rounds and M&A transactions
Collaborate with internal teams on new products, partnerships, and business initiatives
Develop legal templates, playbooks, and best practices to improve efficiency
Monitor legal and regulatory changes and provide guidance and training internally
Work closely with external counsel while managing legal costs effectively

Skills, Licenses & Experience Required

Valid Bar License (Canada or USA)
10–15 years of experience as a trusted legal advisor, preferably in tech or SaaS environments
Strong experience in term negotiation and complex commercial agreements
In-depth knowledge of business law related to hardware, software, and SaaS
Experience with corporate law, privacy, IP, government procurement, and regulatory matters
Excellent task prioritization, organization, and time management skills
Strong written, verbal, and interpersonal communication skills
Ability to work independently and collaboratively in a fast-paced environment

Education Requirements

Law degree from an accredited law school
Lawyer in good standing with a Canadian provincial bar or a US state bar
